Статья посвящена исследованию понятия контролирующего лица в плоскости привлечения к субсидиарной ответственности при исключении общества из ЕГРЮЛ. Автор изучает понятие контролирующего лица по смыслу Гражданского кодекса и Закона о банкротстве и анализирует цели законодательного закрепления круга контролирующих субъектов. Обосновывается целесообразность распространения банкротного понимания контролирующего лица на отношения защиты кредиторов при административной ликвидации первоначального должника.

The article is devoted to the study of the concept of a controlling person in the context of subsidiary liability when a company is excluded from the Unified State Register of Legal Entities (EGRUL). The author examines the concept of a controlling person under the Civil Code and the Bankruptcy Law and analyzes the purposes of the legislative delineation of the circle of controlling persons. The article substantiates the expediency of extending the bankruptcy concept of a controlling person to the protection of creditors’ rights in cases of administrative liquidation of the original debtor.
